1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Thera Platform Pty Ltd ("Thera", "we", "us", or "our") website, platform, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under Australian law to use our Services. If you are registering as a provider, you must hold all necessary qualifications, registrations, and insurance required for your profession.

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use of your account

4. Use of Services

Thera provides a marketplace platform that connects allied health providers with organisations and individuals seeking allied health services. You agree to use our Services only for lawful purposes and in accordance with these Terms.

You must not use our Services to engage in any activity that violates applicable laws, infringes the rights of others, or interferes with the operation of the platform.

5. Provider Obligations

If you register as a provider on the Thera platform, you acknowledge and agree that:

• You are an independent contractor, not an employee of Thera
• You are responsible for maintaining all required professional registrations and insurance
• You will deliver services in accordance with applicable professional standards and codes of conduct
• You will comply with all applicable laws and regulations, including the Aged Care Act and NDIS legislation where relevant
• You will promptly report any incidents or concerns through the platform

6. Partner Obligations

If you register as a partner organisation, you agree to provide accurate information about your service requirements, comply with all applicable aged care and health regulations, and maintain appropriate duty of care for clients receiving services through the platform.

7. Payments and Fees

Payment terms, fees, and billing arrangements are as agreed between you and Thera and may vary depending on your role (provider or partner) and the specific services engaged. Thera reserves the right to modify its fee structure with reasonable notice to affected parties.

8. Intellectual Property

All intellectual property rights in the Services, including but not limited to the website, platform, logos, and content, are owned by or licensed to Thera. You may not reproduce, distribute, or create derivative works from any part of our Services without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by Australian law, Thera shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Thera's total liability shall not exceed the fees paid by you to Thera in the 12 months preceding the claim.

10. Termination

Either party may terminate their use of the Services at any time. Thera reserves the right to suspend or terminate your account if you breach these Terms, engage in fraudulent or unlawful activity, or if we reasonably believe your continued use poses a risk to other users or the platform.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be governed by the laws of New South Wales, Australia. The parties agree to attempt to resolve disputes through good faith negotiation before pursuing formal legal proceedings.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
