1. Parties
This Provider Agreement ("Agreement") is entered into between Thera Platform Pty Ltd (ABN TBC) ("Thera") and you, the allied health provider ("Provider"), upon your acceptance of these terms through the Thera platform.
2. Engagement
You are engaged by Thera as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and Thera. You are responsible for your own taxation, superannuation, and insurance obligations.
You acknowledge that Thera provides a platform to connect providers with partner organisations and clients, and that Thera does not direct or control the manner in which you deliver services.
3. Provider Obligations
As a provider on the Thera platform, you agree to:
- Maintain current and valid professional registration with AHPRA or the relevant regulatory body for your profession
- Maintain adequate professional indemnity insurance and public liability insurance (minimum $10 million combined)
- Hold a current Working With Children Check and National Police Check where required
- Deliver all services in accordance with your profession's code of conduct and applicable clinical standards
- Complete all required documentation, including session notes and incident reports, in a timely manner
- Attend scheduled sessions or provide reasonable notice of cancellation in accordance with Thera's cancellation policy
- Maintain confidentiality of all client information in accordance with privacy legislation
4. Credential Verification
You authorise Thera to verify your professional credentials, including AHPRA registration status, insurance coverage, and background checks. You agree to promptly provide updated documentation when requested and to notify Thera immediately of any changes to your registration status, insurance coverage, or any conditions or undertakings placed on your practice.
5. Rates and Payment
Your hourly rate will be agreed upon during onboarding and confirmed in your provider profile. Thera will process payments for completed and approved sessions in accordance with the following terms:
- Payment is processed after session completion and submission of required documentation
- Standard payment terms are within 14 business days of invoice approval
- Thera retains a platform fee as agreed during onboarding
- You are responsible for issuing a valid tax invoice or recipient created tax invoice (RCTI) as applicable
6. Intellectual Property
All intellectual property in the Thera platform, branding, and materials remains the property of Thera. You may not use Thera's name, logo, or branding without prior written consent. Clinical notes and documentation created by you remain your intellectual property, subject to Thera's licence to store, process, and share them as necessary for service delivery.
7. Confidentiality
You agree to maintain strict confidentiality regarding all client information, partner organisation details, and proprietary Thera business information. This obligation survives the termination of this Agreement.
8. Insurance
You must maintain, at your own cost, professional indemnity insurance and public liability insurance with a reputable insurer. You must provide Thera with a current certificate of currency upon request and notify Thera immediately if your insurance is cancelled, lapses, or is materially altered.
9. Termination
Either party may terminate this Agreement by providing 14 days' written notice. Thera may terminate this Agreement immediately if you:
- Breach any material term of this Agreement
- Lose or have conditions placed on your professional registration
- Fail to maintain required insurance coverage
- Engage in conduct that, in Thera's reasonable opinion, poses a risk to clients or the platform
- Are found to have provided false or misleading information
10. Indemnity
You agree to indemnify and hold harmless Thera, its directors, officers, and employees from any claims, losses, damages, or expenses arising from your provision of services, any breach of this Agreement, or any negligent or wrongful act or omission in connection with your use of the platform.
11. Governing Law
This Agreement is governed by the laws of New South Wales, Australia. Any disputes shall be resolved in accordance with the dispute resolution process outlined in Thera's Terms of Service.
